Service Terms and Conditions

Version: 34182276 - Nova Wave Telecom LLC Service Terms and Conditions:

1. General Terms:

   • These Terms govern Hosted PBX VoIP and related services provided to customers as per the ordering form (Estimate).

   • Terms are subject to change, with updates posted on Novawavetelecom.com.

   • Customer's use of services or signing of the Estimate implies acceptance of these Terms.

2. Service Commitment and Approval:

   • Service provision is contingent on Nova Wave Telecom LLC's approval of Customer's credit status.

   • Customers may need to provide a cash deposit based on credit review.

3. Service Term and Renewal:

   • Services begin when facilities are installed and continue as outlined in the Estimate.

   • Service terms after the contract is completed automatically renew monthly unless terminated with 30 days' notice.

4. Service Availability:

   • Service initiation depends on third-party actions and Nova Wave Telecom LLC's efforts.

   • Services aim for 24/7 availability, barring maintenance or emergencies.

5. Customer Responsibilities:

   • Customers bear charges for special installations or repairs caused by their actions.

   • Equipment provided remains Nova Wave Telecom LLC's property and must be returned upon service termination.

6. Termination:

   • Either party may terminate the service as per the Terms.

   • Early termination by the customer incurs charges for services rendered and the monthly service till the end of the term plus potential additional costs.

7. Usage Compliance:

   • Services must be used in accordance with laws and regulations.

   • Customers are responsible for securing necessary permissions related to service usage.

8. Billing and Payments:

   • Charges are applied monthly, with variable charges billed in arrears.

   • Customers are responsible for timely payments and notifying Nova Wave Telecom LLC of any billing disputes or changes in credit card information.

9. Indemnification and Liabilities:

   • Parties agree to indemnify each other against damages arising from negligence or misconduct.

   • Nova Wave Telecom LLC's liability is limited, with no warranties beyond what's expressly stated.

10. Miscellaneous Provisions:

    • Includes clauses on Force Majeure, legal jurisdiction, assignment of Terms, survival of provisions, and the entire agreement.
